The purpose of this research was the considering of principals professional ethic and its relationship with teachers organizational commitment. Five factors of professional ethic were utilitarian, ethical, justice-based, functional and legal. On the other hand, organizational commitment consisted of normative, continuance and affective commitment Based on purpose, this research is categorized as the applied and quantitative researches which was carried out with correlation method (regression). The population of this research were teachers of secondary level of Karaj’s three region of education. Using a simple random sampling method a sample of 274 people were selected. To do the research, first the level of professional ethic and then the level of organizational commitment were assessed and finally predictability of organizational commitment score based on professional ethic was detected. The findings showed that 1) the level of principals professional ethic was significant; 2) the organizational commitment level is high; 3) there is a relationship between principals professional ethic and teachers organizational commitment; 4) the factors of professional ethic have the ability to predict the organizational commitment level. Based on the results of this research we can say that there is a positive relationship between principals' professional ethic and teachers' organizational commitment in the studied population. Namely, with an increase in principal's professional ethic we will see an increase in teachers' organizational commitment.
